Air Conditioning and Heating Specialists
1. Definitions
- “Auckland Air Solutions”, “we”, “us”, or “our” means Auckland Air Solutions and its employees, contractors, or agents.
- “Customer” means the person or entity requesting or receiving Goods and Services from Auckland Air Solutions.
- “Goods and Services” means all equipment, materials, parts, labour, installation, servicing, maintenance, repairs, advice, and associated work supplied by Auckland Air Solutions.
- “Price” means the agreed price for the Goods and Services, including GST unless stated otherwise.
2. Acceptance of Terms
- Any instruction, confirmation, or acceptance of a quotation by the Customer constitutes acceptance of these Terms & Conditions.
- These Terms & Conditions apply to all work carried out by Auckland Air Solutions unless otherwise agreed in writing.
3. Quotations and Variations
- All quotations are valid for 30 days from the date of issue unless stated otherwise.
- Quotations are based on information available at the time. If site conditions, scope, or requirements change, Auckland Air Solutions reserves the right to adjust the price.
- Any additional work not included in the original quotation will be charged separately and must be approved by the Customer.
4. Payment Terms
- Unless otherwise agreed in writing, payment is due within 7 days from the date of invoice.
- Auckland Air Solutions may require a deposit and/or progress payments for larger projects.
- If payment is not made by the due date, we may charge interest on overdue amounts at 5% above the bank lending rate, calculated from the due date until payment is received.
- The Customer is responsible for all reasonable costs incurred in recovering overdue amounts, including legal fees and debt collection agency fees.
- Auckland Air Solutions reserves the right to suspend work or withhold further services until outstanding accounts are paid.
5. Ownership and Risk
- Risk in the Goods passes to the Customer upon delivery or installation.
- Ownership of all Goods remains with Auckland Air Solutions until payment has been received in full for all Goods and Services supplied.
- Where legally permitted, Auckland Air Solutions may recover or repossess unpaid Goods.
6. Default
The Customer will be considered in default if:
- Payment is not made by the due date;
- The Customer indicates an inability or refusal to pay;
- The Customer becomes insolvent, bankrupt, or enters liquidation.
In the event of default, Auckland Air Solutions may suspend work, cancel the contract, and refer the matter to external debt collection agencies.
7. Liability and Limitation
- To the extent permitted by law, Auckland Air Solutions is not liable for indirect or consequential loss arising from the supply of Goods and Services.
- Where the Consumer Guarantees Act 1993 applies, our liability is limited to the remedies required by that Act.
8. Warranty
- Manufacturer warranties apply to all equipment supplied.
- Workmanship is warranted for the period stated in your quotation or invoice.
- This warranty does not cover damage caused by misuse, lack of maintenance, electrical issues, or unauthorised repairs.
9. Consumer Guarantees Act
- If the Customer acquires Goods and Services for business purposes, the Consumer Guarantees Act 1993 does not apply.
10. Delays and Force Majeure
- Auckland Air Solutions is not liable for delays caused by events beyond our reasonable control, including weather, supplier delays, or access issues.
11. General
- Failure to enforce any right does not constitute a waiver of that right.
- If any part of these Terms is unenforceable, the remaining clauses remain valid.
- These Terms are governed by the laws of New Zealand.
